Terms and Conditions for Henz Studio
1. Introduction and Acceptance of Terms
Welcome to Henz Studio, your partner in creative design solutions. These Terms and Conditions ("Terms") govern your use of our website at henzstudio.com and outline the general terms of our design services. By accessing or using our website and engaging with our services, you agree to be bound by these Terms, which form a legally binding agreement between you ("Client" or "User") and Henz Studio ("we," "us," or "our"). If you do not agree with any part of these Terms, please do not use our website or services. Henz Studio reserves the right to amend these Terms and Conditions at any time without prior notice.
2. Our Services and Your Responsibilities
Henz Studio provides a range of graphic design and web design services, including but not limited to, branding, brochure design, digital assets, and print materials, as detailed in individual project proposals or agreements. When engaging us for a project, you agree to provide all necessary information, content, and feedback in a timely manner to ensure project progression. You also confirm that any materials provided by you for use in the design work do not infringe upon any third-party rights, including copyrights or trademarks. While every effort is undertaken to ensure error-free delivery of tasks, Clients are advised to thoroughly check all materials provided before authorizing production. Henz Studio will not be held liable for errors, mistakes, or discrepancies that are not noted by the Client prior to final approval and/or production authorization. Henz Studio reserves the right to decline any requested support, maintenance, or revision work if the project files have been subsequently handled or altered by another agency, or if the requests fall beyond our current service capabilities or expertise.
3. Intellectual Property and Ownership
All design concepts, drafts, and preliminary works created by Henz Studio remain our intellectual property throughout the project duration. Upon full and final payment for the respective project, ownership of the final approved design, as specified in your project agreement, will be transferred to you for its intended use. As part of our commitment to your full ownership, this transfer of ownership includes the provision of the corresponding working/source files (e.g., Adobe Illustrator .AI, Photoshop .PSD, etc.) for the final approved design. Henz Studio retains the right to display completed projects in our portfolio and for promotional purposes, unless otherwise agreed upon in writing. Any preliminary concepts, rejected designs, or uneditable assets not explicitly part of the final approved deliverables remain the property of Henz Studio.
4. Payments and Project Scope
Our services are priced and delivered according to specific project proposals. Payment terms, including deposit requirements, milestone payments, and final balances, will be clearly outlined in your individual project agreement. Please note that all upfront or deposit payments are non-refundable and non-transferable to another design project once received. All invoices are due as per the specified terms. Any changes or additions to the project scope ("scope creep") after the initial agreement, as well as any future maintenance, updates, or revisions to completed artwork files, may incur additional charges. These charges will be based on the total workload and complexity involved, and will be communicated and agreed upon with the Client before any such work proceeds. Henz Studio reserves the right to pause or terminate services for overdue payments or significant changes in project direction not covered by the initial agreement.
Furthermore, Henz Studio reserves the right to immediately discontinue any ongoing project without refund if there is a fundamental disagreement or non-compliance with the policies outlined in these Terms and Conditions by the Client.
5. Unlimited Revision Policy
Henz Studio is committed to delivering designs that meet your vision. For graphic and web design projects only, and strictly during the active project phase of the project outlined in your proposal (this policy specifically excludes copywriting services and other non-design-related deliverables, and does not apply to projects that have been officially closed or completed), we offer an unlimited revision policy for your peace of mind.
This policy applies exclusively to revisions of content, including text updates, image replacements, and minor content placement adjustments, all within the originally agreed-upon design framework and structure.
Please note that this unlimited revision policy does NOT extend to changes in core design elements such as, but not limited to, overall theme colors, primary layout structures, fundamental design styles, primary font selections, or significant alterations to the main architecture of the design. Requests for such fundamental design changes, if made after initial concepts or major milestones are approved, will be considered a change in the original project scope and will be subject to additional charges as outlined in our project scope change policy.
6. Project File Retention
Henz Studio maintains copies of completed project files for a reasonable period for archival and backup purposes, even after delivery to the Client. However, due to storage limitations and operational requirements, we do not guarantee indefinite retention of project files. Clients are solely responsible for securely backing up and maintaining their own copies of all final deliverables and source files once transferred, as Henz Studio cannot be held responsible for the long-term storage or recovery of client data beyond the project completion date.
7. Project Validity and Abandonment
To ensure efficient project progression, any project that remains inactive for a period exceeding three (3) months, without communication or further feedback from the Client, will be considered abandoned. Henz Studio reserves the right to discontinue such projects without further notification to the Client. In the event of project abandonment due to client inactivity or failure to provide necessary feedback, any payments made remain non-refundable. Furthermore, Henz Studio reserves the right to reclaim and reuse any design concepts, drafts, or completed (but unpaid and abandoned) artwork for future projects or promotional purposes, as full intellectual property rights for such abandoned work will revert to Henz Studio.
8. Promotions
From time to time, Henz Studio may offer special promotions, discounts, or offers. These are subject to their own specific terms and conditions, which will be provided alongside the offer. Please refer to the specific promotional terms for details, eligibility, and validity.
9. Disclaimers and Limitation of Liability
While we strive for excellence in all our work, Henz Studio makes no warranties or guarantees regarding the performance or outcomes of your use of our website or services beyond what is explicitly stated in a project agreement. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of our website or services. Our total liability for any claim arising out of these Terms or your use of our services will not exceed the amount paid by you for the specific service from which the liability arose.
10. Governing Law and Contact Information
These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
